1. Acceptance of Terms
By accessing or using Truebord's AI fine-tuning and model customization services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms constitute a legally binding agreement between you and Truebord.
2. Description of Services
Truebord provides premium AI fine-tuning, model customization, RAG implementation, and related consulting services for enterprise clients. Our Services are designed to transform general-purpose AI models into precision instruments tailored to your specific domain and requirements. The scope, deliverables, and timeline for each engagement are defined in individual service agreements.
3. Eligibility
Our Services are intended for business entities and professionals. By using our Services, you represent that you have the authority to bind your organization to these Terms and that your organization is legally permitted to engage in business transactions.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Ensure you have the legal right to use and share any data or materials provided to us
- Respond to requests for information or approvals in a timely manner
- Maintain the confidentiality of any credentials or access provided during the engagement
- Use the delivered models and solutions in compliance with applicable laws and regulations
5. Intellectual Property
Client Data: You retain all rights to your data, materials, and proprietary information. We claim no ownership over your training data, domain knowledge, or business processes.
Deliverables: Unless otherwise specified in the service agreement, upon full payment, you receive ownership of the fine-tuned models and custom solutions developed specifically for your engagement.
Our IP: Truebord retains ownership of our proprietary methodologies, tools, frameworks, and general knowledge gained that does not incorporate your confidential information.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the engagement. We implement strict data handling procedures and will not disclose your confidential information to third parties except as required to deliver our Services or as required by law. Confidentiality obligations survive the termination of any service agreement.
7. Payment Terms
Payment terms, including fees, schedules, and methods, are specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest charges and may result in suspension of Services.
8. Warranties and Disclaimers
We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. However:
- AI models are probabilistic systems; we do not guarantee specific performance metrics unless explicitly stated in writing
- Results depend on the quality and relevance of provided data and use case specifications
- We disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the maximum extent permitted by law
9. Limitation of Liability
To the maximum extent permitted by law, Truebord's total liability for any claims arising from our Services shall not exceed the fees paid for the specific engagement giving rise to the claim. We shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or data loss.
10. Indemnification
You agree to indemnify and hold Truebord harmless from any claims, damages, or expenses arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
Either party may terminate an engagement as specified in the service agreement. Upon termination, all outstanding fees become due, and both parties must return or destroy confidential information as requested. Provisions relating to intellectual property, confidentiality, and limitation of liability survive termination.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction specified in your service agreement, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of the agreed-upon jurisdiction.
13. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of our Services after such modifications constitutes acceptance of the updated Terms.
